1. Acceptance of Terms

By accessing or using the Halyo platform, website, and related services (the “Services”) provided by Halyo Inc. (“Halyo,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

2. Description of Services

Halyo provides an Execution Intelligence Layer — an autonomous AI platform that integrates with your existing enterprise tools. Our Swarm AI™ agents (Odin, Rover, and Vega) reason across your connected platforms to provide organizational memory, autonomous execution, and strategic planning capabilities.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old or have the legal authority to bind your organization to these Terms.
• One person or organization may not maintain more than one free account.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to build a competing product or service
• Share account credentials with unauthorized individuals

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You retain ownership of all data you provide to the Services. By connecting third-party platforms, you grant Halyo permission to access and process data from those platforms solely for the purpose of providing the Services.

6. Subscription and Billing

• Paid plans are billed in advance on a monthly or annual basis.
• All fees are non-refundable unless otherwise stated or required by law.
• We reserve the right to modify pricing with 30 days' notice.
• Free tier accounts may be subject to usage limits as described on our pricing page.

7. Intellectual Property

The Services, including all software, algorithms, designs, and documentation, are the intellectual property of Halyo Inc. and are protected by applicable intellectual property laws. “Halyo,” “Swarm AI,” “Odin,” “Rover,” and “Vega” are trademarks of Halyo Inc.

8. Limitation of Liability

To the maximum extent permitted by law, Halyo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services.

9. Termination

Either party may terminate the agreement at any time. Upon termination, your right to use the Services will immediately cease. We will provide you with a reasonable period to export your data. Sections that by their nature should survive termination shall survive.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Services. Your continued use after the effective date of changes constitutes acceptance of the modified Terms.
